These Agreement Terms ("Terms of Service") govern the relationship between you and WinPay Wallet regarding your use of the WinPay Wallet wallet service ("Service"). Use of this Service is also governed by other relevant WinPay Wallet policies, which are incorporated herein by reference.

Before accessing or using the Service (including browsing any WinPay Wallet website or related content), you must agree to these Terms of Service. A customer account for using the Service may be created for you, or you may need to register an account on the Service (collectively referred to as an "Account"). By using or registering an account or otherwise using the Service, you confirm that you have reached the legal age of majority in your country of residence. If you have not, your legal guardian must review and agree to these Terms of Service.

WinPay Wallet reserves the right to change, modify, add to, or delete these Terms of Service and its other related WinPay Wallet policies at any time by posting revised terms on the Service. Your continued use of the Service will be deemed acceptance of such changes. If at any time you disagree with any part of the then-current version of our Terms of Service, any other WinPay Wallet policies, rules, or codes of conduct related to your use of the Service, your right to use the Service shall immediately terminate and you must immediately cease using the Service.

1. Use of the Service

1.1 Your Right to Use the Service

Subject to your agreement and continued compliance with these Terms of Service and any other applicable WinPay Wallet policies, you have a non-exclusive, non-transferable, non-sublicensable, revocable, and limited right to access and use the Service for your own non-commercial entertainment purposes. You agree not to use the Service for any other purpose.

The following restrictions apply to the use of the Service:

1.1.1 You bear full responsibility for any unauthorized use of this Service by minors. You are responsible for any use of your credit card or other payment instruments (such as PayPal) by minors.

1.1.2 You may not (or attempt to) purchase, sell, rent, or give away your account, create an account using false identities or information, or on behalf of anyone other than yourself. If you have previously been removed by WinPay Wallet, or have previously been banned from any WinPay Wallet application, you should not use the Service.

1.1.3 You may not use the Service to promote, solicit, or transmit any commercial advertisements to any person, including chain letters, spam or junk mail, or repetitive or misleading messages.

1.2 Login Information and Your Account

You may need to connect a cryptocurrency wallet to your account, or you may access your account using other credentials ("Login Information"). You may not share your account or wallet seed information, or allow any other person to access your account, or do anything that could jeopardize the security of your account. If you become aware of, or reasonably suspect, any breach of security, including but not limited to the loss, theft, or unauthorized disclosure of your Login Information, you must immediately notify WinPay Wallet and modify your Login Information. You are solely responsible for maintaining the confidentiality of your Login Information, and you will be responsible for all uses of your Login Information, including purchases, whether or not authorized by you. You are responsible for everything that occurs through your account.

1.3 Wallet Addresses, Private Keys, and Backup Features

Encrypted backups of certain information related to wallets may be stored on eligible devices. Private keys are associated with wallet addresses, and they can be used together to authorize the transfer of digital assets to that wallet address. You are solely responsible for the retention and security of your private keys and any mnemonic phrase associated with your wallet ("Secret Phrase"). You must ensure the security of your wallet address, passphrase, and private key access information. It is important to back up your private keys, backup phrases, or passwords. Failure to do so may result in loss of control over the digital assets associated with your wallet. You acknowledge and agree that we will not receive or store your wallet password, encrypted private keys, unencrypted private keys, or passphrase associated with your wallet. If you forget your original password, we will be unable to generate a new password for your wallet. If you have not securely stored backups of any wallet address and private key pairs held in your wallet, you accept and acknowledge that any digital assets associated with that wallet address will be inaccessible. Accordingly, if for any reason you are unable to access your wallet, including but not limited to your failure to secure your wallet address, passphrase, and private key information, we will bear no liability.

1.4 Digital Asset Transactions

In order to complete all proposed digital asset transactions, they must be confirmed and recorded on the public blockchain associated with the digital asset. Such networks are decentralized peer-to-peer networks supported by independent third parties, which we do not own, control, or operate. We have no control over blockchain networks; therefore, we cannot and do not guarantee that any transaction details you submit through our Service will be confirmed and processed. By using WinPay Wallet, you acknowledge and agree that: (i) we have no power to cancel or otherwise modify your transaction; (ii) the applicable blockchain network may fail to complete the transaction details you submit, or may significantly delay the processing of your submitted details; (iii) we do not store, send, or receive digital assets; and (iv) any transfer related to any digital asset occurs on the relevant blockchain network, not on a network owned by us, and therefore we do not guarantee the transfer of ownership or rights in any digital asset.

1.5 Square (Community Forum) Posts
Users who publish articles and media content via the Square must comply with the following standards:
• Content posted by users on the Platform's Square must not contain illegal, pornographic, violent, discriminatory, threatening, or other content that violates laws and regulations or social ethics.
• The Platform reserves the right to delete non-compliant content based on content review results, and to issue warnings, mute accounts, or impose account bans on publishers.
• Users shall bear full responsibility for the content they publish; the Platform assumes no responsibility for the authenticity, legality, or other aspects of user-published content.
• Users must comply with laws, regulations, and Platform rules, and consciously maintain a healthy online environment.
• The Platform reserves the right to delete non-compliant content and penalize non-compliant users based on regulatory requirements and its own management needs.
• Users who publish non-compliant content may face legal risks; the Platform assumes no legal liability.

1.6 Usage Restrictions

Any use of the Service that violates these usage restrictions is strictly prohibited and may result in the immediate revocation of your limited rights and may subject you to legal liability.

You agree that in no circumstances will you:

Engage in any conduct that WinPay Wallet considers to be in conflict with the spirit or intent of the Service, or misuse WinPay Wallet's support services.

Use or participate in (directly or indirectly) the use of cheats, exploits, automation software, emulators, bots, hacks, mods, or any unauthorized third-party software to modify or interfere with the Service, any WinPay Wallet application, or any WinPay Wallet application experience.

Modify or cause modification of any files related to the Service or any WinPay Wallet application without the express written consent of WinPay Wallet.

Disrupt, interfere with, or otherwise adversely affect the normal flow of the Service, or act in any other way that may negatively impact other users' experience of using the Service or playing WinPay Wallet applications. This includes winning transactions and any other type of ranking manipulation, exploiting errors in the Service to gain an unfair advantage over other players, and any other deliberate misuse of or deviation from the intended design of the Service.

Disrupt, overload, or assist or facilitate the disruption or overloading of any computer or server used to provide or support the Service or any WinPay Wallet usage environment.

Initiate, assist in, or participate in any type of attack, including but not limited to distributing viruses, denial-of-service attacks against the Service, or other attempts to disrupt the Service or any other person's use or enjoyment of the Service.

Attempt to gain unauthorized access to the Service, accounts, or computers, servers, or networks connected to the Service that are registered or used by others through any means other than the user interface provided by WinPay Wallet, including but not limited to by circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting any other person to circumvent or modify any security, technology, device, or software that forms part of the Service.

Post any abusive, threatening, obscene, defamatory, libelous, racial, sexual, religious, or otherwise offensive or objectionable content, or engage in persistent harmful conduct such as repeatedly posting unsolicited messages.

Post any content containing nudity, excessive violence, offensive subject matter, or links to such content.

Attempt or threaten to harass, abuse, or harm, or advocate or incite harassment, abuse, or harm of any person or group, including WinPay Wallet employees and customer service representatives.

2. Ownership

2.1 Applications and Service

All rights, title, and interest in the Service (including but not limited to any applications, titles, computer code, themes, objects, characters, character names, stories, dialogues, catchphrases, concepts, artwork, animations, sounds, musical compositions, audiovisual effects, methods of operation, moral rights, documentation, in-app chat records, character profile information, records made using WinPay Wallet application clients, and WinPay Wallet application client and server software) belong to WinPay Wallet. WinPay Wallet reserves all rights relating to its applications and Service, including but not limited to all intellectual property rights or other proprietary rights.

2.2 Virtual Content

WinPay Wallet owns, has licensed, or otherwise holds the rights to use all content appearing in the Service or WinPay Wallet applications. Notwithstanding anything to the contrary in this Agreement, you agree that you have no right to or ownership of any content appearing in the Service, including but not limited to any virtual items, content, features, goods, services, or currencies appearing in or originating from any WinPay Wallet application, whether acquired in the application or purchased from WinPay Wallet, or any other attributes associated with or stored in the Service.

3. User Content

3.1 Submission of User Content

"User Content" refers to any communications, images, sounds, and all materials, data, and information uploaded or transmitted by you through the WinPay Wallet application client or Service, or uploaded or transmitted by other users, including but not limited to any chat text. By transmitting or submitting any User Content when using the Service, you acknowledge, represent, and warrant that such transmission or submission is: (a) accurate, non-confidential, and non-misleading; (b) not in violation of any laws, contractual restrictions, or other third-party rights, and that you have obtained permission from any third party whose personal information or intellectual property is included in the User Content; (c) free of viruses, adware, spyware, worms, or other malicious code; and (d) you acknowledge and agree that WinPay Wallet will always handle any personal information in such content in accordance with its other policies.

3.2 Your WinPay Wallet License

You hereby grant WinPay Wallet an irrevocable, perpetual, transferable, fully paid-up, royalty-free worldwide license (including the right to sublicense and assign to third parties) to reproduce, copy, repair, adapt, modify, create derivative works, manufacture, commercialize, publish, distribute, sell, license, sublicense, transfer, lease, transmit, publicly display, publicly perform, or provide electronic access, broadcast, communicate to the public via telecommunications, display, perform, enter into computer memory, use and practice your User Content and all modifications and derivative works related to our provision of the Service, including the marketing and promotion of the Service. You also hereby grant WinPay Wallet the right to authorize others to exercise any rights granted to WinPay Wallet under these Terms of Service. You further grant WinPay Wallet the unconditional, irrevocable right to use and exploit your name, likeness, and any other information or materials contained in any User Content, without any obligation to you. Unless prohibited by law, you waive any attribution rights and/or any moral rights you may have in your User Content, regardless of whether your User Content is in any way changed or altered. WinPay Wallet will not claim any ownership of your User Content, and nothing in these Terms of Service will limit any of your rights to use and exploit your User Content. WinPay Wallet has no obligation to monitor or enforce your intellectual property rights in your User Content.

3.3 User Interactions

You are solely responsible for your interactions with other users of the Service and with any other parties with whom you interact through the Service and WinPay Wallet applications. WinPay Wallet reserves the right, but has no obligation, to become involved in these disputes in any way. You will cooperate fully with WinPay Wallet to investigate any suspected unlawful, fraudulent, or improper activity, including but not limited to allowing WinPay Wallet access to any password-protected portions of your account.

If you have a dispute with one or more users, you release us (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from any claims, demands, and damages (actual and consequential) of any kind and nature arising from or in any way related to such disputes.

4. Purchase Terms

4.1 Purchases

Within the Service, you may purchase with "real-world" currency a limited, personal, non-transferable, non-sublicensable, revocable right to use: (a) virtual currency, including but not limited to virtual cash, all of which is used within WinPay Wallet applications; (b) in-app items, content, or features; and (c) other goods or services (items a–c collectively referred to as "Virtual Items"). You may only purchase Virtual Items from us or our authorized partners through the Service and may not purchase them in any other way.

4.2
WinPay Wallet may manage, regulate, control, modify, or eliminate Virtual Items at any time, with or without notice. If WinPay Wallet exercises any such rights, WinPay Wallet shall not be liable to you or any third party. Except as expressly authorized within the Service, transfers of Virtual Items are prohibited. Except as expressly authorized within the Service, you may not sell, purchase, redeem, or otherwise transfer Virtual Items to any individual or entity, or attempt any of the foregoing, including but not limited to WinPay Wallet, other users, or any third party.

5. Service Updates

You understand that the Service is a continually evolving service. WinPay Wallet may require you to accept updates to the Service and WinPay Wallet applications installed on your device or computer. You acknowledge and agree that WinPay Wallet may update the Service and WinPay Wallet applications with or without notifying you. You may be required from time to time to update third-party software in order to receive the Service and use WinPay Wallet applications.

6. Severability

You and WinPay Wallet agree that if any court of competent jurisdiction finds any portion of these Terms of Service to be unlawful or unenforceable in whole or in part, such portion shall be invalid only to the extent determined to be invalid or unenforceable, without affecting the validity or enforceability of such terms in any other manner or jurisdiction, nor affecting the other provisions of the terms, which shall remain in full force and effect.

7. General Provisions

7.1 Assignment

WinPay Wallet may assign or delegate these Terms of Service, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under the Terms of Service without WinPay Wallet's prior written consent, and any unauthorized assignment or delegation by you is ineffective.

7.2 Supplemental Policies

WinPay Wallet may publish additional policies related to specific services, such as forums, contests, or loyalty programs. Your right to use such services is subject to those specific policies and the Terms of Service.

7.3 Entire Agreement

These Terms of Service, any supplemental policies, and any documents expressly incorporated herein by reference constitute the entire understanding between you and WinPay Wallet and supersede all prior understandings between the parties regarding the subject matter of this Agreement, whether electronic, oral, or written, or established by custom, practice, policy, or precedent, with respect to the Service between you and us.

7.4 No Waiver

WinPay Wallet's failure to require or enforce your strict compliance with any provision of these Terms of Service, or failure to exercise any right under these Terms of Service, shall not be construed as a waiver or relinquishment of WinPay Wallet's right to assert or rely on any such provision or right in any such or any other circumstances.

WinPay Wallet's express waiver of any provision, condition, or requirement of these Terms of Service shall not constitute a waiver of any future obligation to comply with such provision, condition, or requirement. Except as expressly stated in these Terms of Service, no representation, declaration, consent, waiver, or other act or omission by WinPay Wallet shall be deemed an amendment to these Terms of Service or have any legal binding effect unless it is made in a written document signed by you and a duly appointed officer of WinPay Wallet.

7.5 Force Majeure

WinPay Wallet shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to unforeseen circumstances or causes beyond WinPay Wallet's control (such as natural disasters, war, terrorism, riots, embargoes, actions of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials).

This Agreement is effective as of December 10, 2023.

For matters not addressed in this Agreement, you should comply with WinPay Wallet's announcements and relevant rules as updated from time to time.

Card Issuance Service Agreement

1.	B-end users with an overall chargeback and failure rate ≥20% will be charged $0.30 per transaction; ≥50% will be charged $0.60 per transaction. C-end users with an overall chargeback rate ≥10% will be charged $0.30 per transaction; if ≥40%
2.  Card Usage Issues:
2.1	If the card organization determines that the cardholder has engaged in malicious chargeback behavior during card use, the account will be frozen and the balance will not be refunded.
2.2	If a payment fails due to insufficient card balance for more than 3 consecutive times (or if the transaction amount exceeds 3 times the card balance), the card will be frozen/cancelled and the balance will not be refunded.
2.3	Users who exhibit abnormal behavior such as multiple authorizations without settlement, repeated zero-amount authorizations (e.g., freeloading, obtaining services without payment, batch card issuance with zero-amount authorization and no spending), will have their cards frozen and cancelled with no balance refund.
2.4	Once a card has been successfully issued, the card issuance fee is non-refundable. Funds on the card may be withdrawn or returned to the balance account upon card cancellation.
2.5	A cancelled card cannot be restored.
2.6	Violation of any of the above rules, or triggering unknown bank risk controls, will be deemed as non-compliant use. The Platform holds the final right of interpretation. The account will be frozen/cancelled and the balance will not be refunded.
2.7 When selecting a card to issue, please review the use case description and select the prepaid card that best matches your intended use case. The Platform assumes no liability if payment cannot be processed at certain merchant platforms.

This Agreement is effective as of December 1, 2024.

For matters not addressed in this Agreement, you should comply with WinPay Wallet's announcements and relevant rules as updated from time to time.

WinPay Wallet Privacy Policy

We collect your information in order to provide the services you request on WinPay Wallet, and we place great importance on protecting your privacy. We strictly adhere to the principles of "legality, legitimacy, and necessity" when collecting your information. You acknowledge that if you do not provide us with the necessary information, your user experience on WinPay Wallet may be affected.

1. Information We Collect
We may collect your personal information, including but not limited to your mobile device information, biometric information, and camera/photo information.
1.1 Mobile Device Information
You need to agree to allow WinPay Wallet to obtain information related to your device, including phone type, system device version, software version, Android ID, and hardware serial number. This information enables the App to adapt to the corresponding device and ensures users receive the latest version features, while enhancing system security through the bound device feature.
1.2 Biometric Information
When users create a wallet using WinPay Wallet, biometric login can be enabled. WinPay Wallet only calls the system's biometric verification function (facial recognition or fingerprint recognition) and does not read or store users' biometric information (facial or fingerprint data). If users wish to disable biometric login, they can do so via Settings -> Security Settings -> Enable Biometric Login.
1.3 Camera/Photo Information
Users may update their profile picture in Settings, either by taking a photo with the camera or selecting a photo from their personal photo library. We will request your authorization via a pop-up prompt. Once you grant authorization, we will access the device's camera and photo library. If you do not grant this permission, you will not be able to use this feature normally.
After obtaining user consent, profile picture information will be encrypted and uploaded to the WinPay Wallet backend for encrypted storage.
1.4 Your Wallet Password and Privacy Information
Keys, mnemonic phrases, and Keystores on WinPay Wallet (decentralized solution) are not stored or synchronized on WinPay Wallet servers. WinPay Wallet does not provide a service to recover your wallet password, private key, mnemonic phrase, or Keystore.
1.5 In addition to the foregoing, when you use specific features of WinPay Wallet, we may specifically notify you and request that you provide additional personal information.
1.6 When you connect to a DApp developed by a third party via WinPay Wallet, your personal information will be collected and held by the third-party DApp, not by WinPay Wallet. When you fill in your personal information on a third-party DApp, you should review the terms of use and privacy policy of that third-party DApp. We assume no liability for any losses caused by your operations on third-party DApps.
1.7 To the extent permitted by laws and regulations, WinPay Wallet may collect and use the following personal information without your prior consent or authorization:
  a. Information related to national security and national defense;
  b. Information related to public safety, public health, or significant public interests;
  c. Information related to criminal investigation, prosecution, trial, and enforcement;
  d. Personal information that you have made publicly available;
  e. Personal information collected from legally and publicly disclosed information, such as lawful news reports and government information disclosure channels;
  f. Personal information necessary for maintaining the security and compliance of the Service, such as detecting or resolving faults in products and services;
  g. Other circumstances as provided by laws and regulations. We collect information in the following ways:
     1) Information we collect during your use of WinPay Wallet, including your mobile device information, your operation records on WinPay Wallet, transaction records, and wallet addresses.
1.8 Content Publication Standards
• Content posted by users on the Platform's Square must not contain illegal, pornographic, violent, discriminatory, threatening, or other content that violates laws and regulations or social ethics.
• The Platform reserves the right to delete non-compliant content based on content review results, and to issue warnings, mute accounts, or impose account bans on publishers.
• Users shall bear full responsibility for the content they publish; the Platform assumes no responsibility for the authenticity, legality, or other aspects of user-published content.
1.9 Content Compliance Risk Notice
• Users must comply with laws, regulations, and Platform rules, and consciously maintain a healthy online environment.
• The Platform reserves the right to delete non-compliant content and penalize non-compliant users based on regulatory requirements and its own management needs.
• Users who publish non-compliant content may face legal risks; the Platform assumes no legal liability.

2. Privacy and Security
We have always prioritized security. This section describes what you should do when using the application and details our security measures.

2.1 Our Measures
We are committed to ensuring that your personal data is protected and will not be accessed or processed without authorization or accidentally. Our measures include:
• Implementing appropriate measures in facilities, electronic systems, and internal processes to safeguard your personal data.
• The secure area of this application uses Transport Layer Security (TLS) encryption, the industry standard for protecting data on the internet. When you provide us with important information, such as profile picture data, this information will automatically be converted to code before being securely transmitted over the internet.
• Our web servers are protected by firewalls, and we continuously monitor our own systems to prevent unauthorized access.
• We will take all practicable steps to ensure that your personal data is not retained longer than necessary. We will also comply with applicable laws and regulatory requirements regarding the retention of personal data.

2.2 What You Should Do
Ensure that your information remains confidential. You should:
• Lock your device with a security code, password, or biometric authentication when not in use.
• Do not share the use of your device with others. If you must allow others to use your device, keep watch over it to prevent others from logging into your private wallet.
• Never share any of your wallet passwords with others or allow others to access this information.
• If you log in to your device or application using biometric authentication, you should only register your own biometric data on the device, to prevent others from logging in to your device or application without your authorization.
• Only download and update the WinPay Wallet application from official app stores. Do not download or update from any unofficial sources.
• Install the latest antivirus and anti-spyware software on the device used for this application and update it regularly. When installing protection software, choose reputable brands from mainstream providers.
• Ensure that the device uses the latest operating system and keeps it updated.
• Do not use WinPay Wallet applications on any modified device or operating system outside the configuration supported or warranted by your mobile device or operating system provider. These devices include jailbroken or rooted devices. Jailbroken or rooted devices are those that have had their restrictions removed without the approval of your mobile service provider and phone manufacturer. Using WinPay Wallet applications on jailbroken or rooted devices may compromise security and lead to fraudulent transactions. We assume no responsibility for consequences arising from this.

3. Protection of Minors
The following special provisions apply to minors under the age of 18:
   3.1 Minors must not use WinPay Wallet without guidance from their parents or guardians.
   3.2 Parents and guardians of minors should review this Policy, the WinPay Wallet Terms of Service, and other relevant rules before providing guidance to minors on using WinPay Wallet.
   3.3 WinPay Wallet will, in accordance with national laws and regulations, ensure the confidentiality and security of personal information of minors.

4. Disclaimer
   4.1 Once you connect to a DApp developed by a third party via WinPay Wallet, the privacy policy of the third-party DApp will apply. The collection and use of your personal information by the third-party DApp is neither controlled by WinPay Wallet nor governed by this Policy.
   4.2 You should exercise caution when choosing and using third-party DApps, and protect your personal information. WinPay Wallet assumes no privacy protection obligations with respect to any third-party DApps.
   4.3 You acknowledge and accept that, to the maximum extent permitted by applicable law, WinPay Wallet will adopt reasonably practicable measures under current technology to protect your personal information on an "as-is," "as-available," and "without exclusion of any defects" basis, to prevent information leakage, tampering, or damage. Since WinPay Wallet transmits data wirelessly, WinPay Wallet does not guarantee the privacy and security of wireless network data transmission.
